1. Introduction & Acceptance of Terms

Welcome to Dookanwale (“Dookanwale”, “we”, “us”, or “our”), operated by Dookanwale Technologies and its proprietors. By accessing, browsing, registering for, or using our website located at dookanwale.com, including all associated subdomains, merchant dashboards, and mobile applications (the “Platform”), you (“Merchant”, “User”, “Customer”, or “You”) agree to be legally bound by these Terms and Conditions (“Terms”), our Privacy Policy, and our Refund & Cancellation Policy.

If you do not agree to all terms and conditions outlined herein, you must immediately discontinue use of the Platform and its associated software services.

2. Description of Platform Services

Dookanwale provides a cloud-based Software-as-a-Service (SaaS) e-commerce storefront creation and management platform. Our services include:

• Digital online store provisioning with custom subdomain or custom domain mapping.
• Online product catalogs, inventory display, and variant configurations.
• Checkout mechanisms supporting direct UPI (NPCI QR rails), Cash on Delivery (COD) pre-validation, and third-party payment gateway integrations.
• Merchant cockpit dashboards for managing incoming orders, fulfillment statuses, and customer communication via WhatsApp.
• Business notification relays and web soundbox audio alerts for instant order updates.

Zero Platform Commission: Dookanwale operates as an independent SaaS technology provider and does not collect per-order sales commissions from merchants unless expressly stated in a specialized plan.

3. Merchant Accounts & Registration

To create and operate a digital storefront, you must register by providing accurate, complete, and current information, including your business name, mobile phone number, email address, and operational location.

• You are responsible for maintaining the confidentiality of your account credentials and magic login links.
• You are strictly liable for all activities, products listed, orders accepted, and transactions conducted under your account.
• You must be at least 18 years of age or the legal age of majority in your jurisdiction to enter into this legally binding agreement.

4. Subscriptions, Pricing & Payments

Dookanwale offers tiered subscription plans (Starter, Growth, Pro). The features, capabilities, and pricing for each tier are published on our website and in the merchant cockpit:

• Currency: All fees are stated and charged in Indian Rupees (INR).
• Free Trial: New merchants are eligible for a 3-day free trial. Upon conclusion of the trial, an active subscription is required to keep digital storefronts live.
• Payment Processing: Payments for Dookanwale subscriptions are processed securely through RBI-licensed payment aggregators or verified direct UPI.
• Taxes: Fees may be subject to Goods and Services Tax (GST) as per prevailing Indian tax regulations.

5. Merchant Obligations & Prohibited Items

You agree not to upload, sell, promote, or distribute any goods, services, or content that violates any applicable local, state, national, or international law in India. Prohibited items include, but are not limited to:

• Counterfeit, pirated, or unauthorized replica goods.
• Narcotics, illegal drugs, prescription medications without legal compliance, and hazardous chemicals.
• Weapons, firearms, ammunition, and explosives.
• Adult, sexually explicit, or obscene materials.
• Lottery tickets, unauthorized gambling, or multi-level marketing schemes.
• Any content that infringes upon third-party intellectual property, trademarks, or copyrights.

Dookanwale reserves the right to immediately suspend or permanently delete any store that violates these safety guidelines without refund.

6. Relationship Between Dookanwale, Merchants & Shoppers

Dookanwale is a technology platform and software service provider. Dookanwale is not the seller of products listed by merchants on their individual storefronts.

The commercial contract for the sale of any item on a merchant store is strictly between the merchant and the consumer. The merchant is solely responsible for product quality, delivery, warranty, and customer dispute resolution.

7. Intellectual Property Rights

All intellectual property rights in the Dookanwale platform, including code, user interface designs, logos, graphics, and documentation, are the exclusive property of Dookanwale Technologies. Merchants retain complete ownership of their own business logos, brand names, product photographs, and text uploaded to their store.

8. Limitation of Liability & Disclaimers

The Platform is provided on an “as-is” and “as-available” basis. While we strive for 99.9% uptime, we make no warranties that our services will be completely uninterrupted, error-free, or immune from internet outages or telecommunication failures.

To the maximum extent permitted by Indian law, Dookanwale shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from lost profits, data loss, or business interruption. In no event shall our total aggregate liability exceed the total subscription fees paid by you to Dookanwale in the preceding three (3) months.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal action, dispute, or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Calicut, Kerala, India.
